1. Parties and acceptance

This Brand Membership Agreement is a binding contract between SeshList and the brand, company, and individual purchasing or managing a brand listing (together, “you”). By checking the acceptance box at checkout, completing payment, or using a brand listing, you accept this Agreement in full, together with the Terms of Use, Brand Claim Policy, Chargeback & Refund Policy, Acceptable Use, and Privacy Policy, all incorporated here. You represent that you are authorized to bind the brand.

2. What the membership includes

A brand membership is a digital service: one official, claimed brand page with unlimited product listings for a one-year term. Every product is reviewed by an administrator before it appears, and nothing goes live until approved. The membership grants control over brand-level information only. It does not grant, and you are not buying, any ranking, placement, score, vote, visibility, or result.

3. Fee, billing, and no additional charges

The membership fee is ninety-nine US dollars (US$99) for a one-year term, charged one time, all in. There are no setup fees, per-product fees, commissions, upcharges, or other amounts owed for the standard membership, and nothing else is required to buy to use it. Payment is processed by Stripe and billed immediately. The fee covers the listing service only. Any future optional add-ons, if offered, will be separately and clearly priced and purchased only if you choose them.

4. Cancellation and refunds

You may cancel for a full refund within 48 hours of payment by emailing cancel@seshlist.com from the email used at checkout. After 48 hours, all fees are final and non-refundable, in whole or in part, with no exceptions other than where required by law, regardless of use, removal for a violation, or dissatisfaction. The Chargeback & Refund Policy governs cancellations and disputes, and you agree to contact SeshList before initiating any chargeback. A wrongful chargeback is a breach of this Agreement.

5. No guarantee of results

Rankings, scores, and visibility are determined by verified community votes and platform signals, not by payment. SeshList makes no representation or guarantee about traffic, placement, votes, sales, or any outcome from a membership, and you acknowledge you are not relying on any such promise.

6. Content, marks, and ownership

You grant SeshList a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and publicly display all logos, images, names, marks, descriptions, product information, and other content you submit, in any media and for any purpose, including operating and promoting SeshList, with no attribution or compensation to you. You waive any moral rights in that content to the maximum extent permitted by law.

You represent and warrant that you own or are fully authorized to grant rights in everything you submit, that it is accurate, and that it infringes no third-party right and violates no law. SeshList exclusively owns the platform and all rankings, scores, badges, compilations, and derivative works it creates. SeshList may continue to display and use your submitted content as part of the historical record after a membership ends.

7. Brand conduct

You agree that you and anyone acting for you will not:

• Influence, buy, trade, solicit, or manipulate votes, scores, or rankings.
• Vote on your own products or coordinate, incentivize, or automate voting.
• Submit false, misleading, infringing, or duplicate information or images.
• Edit live product data directly; live products are locked and change only through admin-reviewed requests.
• Scrape, probe, disrupt, or misuse the platform.

8. No disparagement

You agree not to make, publish, or encourage any false, misleading, defamatory, or disparaging statement about SeshList, its operators, employees, services, or brand, on or off the platform. A breach of this section is grounds for immediate suspension or termination with no refund, in addition to any other remedy available to SeshList.

9. Admin review and control

SeshList reviews every product before it goes live and may approve, edit, hold, reject, reorder, restrict, or remove any listing, product, image, or content at any time, in its sole discretion, to keep rankings fair and trusted. Approval is never guaranteed. SeshList may correct or remove inaccurate information.

10. Suspension and termination

SeshList may suspend, limit, revoke, or terminate a brand membership, page, or account at any time, with or without cause and with or without notice, in its sole discretion. If SeshList terminates for your breach, abuse, manipulation, disparagement, unlawful conduct, or a wrongful chargeback, you are not entitled to any refund. Termination does not relieve you of obligations that survive by their nature.

11. Your representations and compliance

You represent that the brand and its products comply with all applicable laws, that you have authority to bind the brand, that all information is accurate, and that you will keep it accurate. You are solely responsible for your brand, products, claims, and conduct. SeshList is an informational platform and does not sell cannabis or facilitate any cannabis transaction.

12. Indemnification

You agree to indemnify, defend, and hold harmless SeshList and its operators, owners, and agents from and against any claim, demand, loss, liability, damage, cost, and expense (including reasonable legal fees) arising out of your content, your brand or products, your use of the membership, or your breach of this Agreement, any incorporated policy, or any law.

13. Disclaimers and limitation of liability

The membership and platform are provided on an as-is and as-available basis with no warranties of any kind, express or implied. To the fullest extent permitted by law, SeshList and its operators are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, traffic, or goodwill. SeshList's total aggregate liability to you for any and all claims will not exceed the membership fee you actually paid in the twelve months before the claim.

14. Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts serving Sheridan County, Wyoming, on an individual basis only; you waive any class, collective, consolidated, or representative action and, to the extent permitted by law, any right to a jury trial. Any claim must be brought within one year after it arises or it is permanently barred.

15. General

This Agreement, with the policies it incorporates, is the entire agreement between you and SeshList regarding the membership and supersedes any prior understanding. SeshList may amend it at any time, with changes effective on posting; continued use is acceptance. SeshList may assign this Agreement; you may not assign it without SeshList's written consent. A failure to enforce any provision is not a waiver, and if any provision is unenforceable the rest remains in effect.
